Licensing agreement - SPRING

The following electronic contract provides for a software licensing agreement between:

INPE - National Institute for Space Research, hereinafter designed as INPE;
The Person who willingly downloads the SPRING software or receives it from INPE with no cost, hereinafter designed as YOU;
For the conditions of license that apply to the SPRING software environment and related material, hereinafter referred to as SPRING, or as "the Software"

By this license agreement, YOU will be entitled by INPE to a certain number of rights to use and disseminate SPRING. All rights not explicitly mentioned in this agreement, as well as full copyrights on SPRING, are reserved to INPE.

The parties agree that this constitutes the sole and entire agreement of the parties as to the matter set forth herein and supersedes any previous agreements, understandings, and arrangements between the parties relating hereto.

Mutual Agreement

By downloading and installing SPRING, YOU are agreeing to all license terms, as stated herein. Should you not accept the license terms, you are compelled to destroy the software copies and whatever related materials you have obtained by access to the INPE electronic Websites or by other means.

Reservation of Ownership and Grant of License

INPE retains exclusive rights, title, and ownership of the copy of the SPRING and, hereby, grants YOU a personal and nonexclusive license right to use SPRING based on the terms and conditions of this Agreement. From the date of receipt, YOU agree to protect SPRING from unauthorized use, reproduction, distribution, or publication, to a reasonable extent.

Copyright

SPRING is owned by INPE and is protected by Brazilian copyright laws and applicable international laws, treaties, and/or conventions.

Permitted Uses

YOU may install SPRING onto the permanent storage device(s) on the computer system(s) and/or specific computer network(s), and YOU may use the Software and Related Materials without a licensee fee on your computer system and your computer network.

YOU may reproduce and redistribute SPRING in executable code to third parties provided that the Software are reproduced and redistributed in its entirety, this Software License Agreement accompanies each copy of the Software, all copyright and trademark notices are reproduced, and that there is no charge, fee, or cost otherwise associated with providing such copies to third parties.

Term

The license granted by this Agreement is for a term of 6(six) months, which will be automatically renewed for subsequent 12(twelve) months, subject to INPE's then-current licensing policies he Agreement shall automatically terminate without notice if You fail to comply with any provision of this Agreement.

Limited Warranty

Because SPRING is licensed free of charge, there is no warranty for it. INPE provides the program "as is" without guarantees of any kind, either express or implied, including, but not limited to, the implied warranties and merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of the Software is with You.

Governing Law

This Agreement is governed by the Brazilian laws.
